The Seller hereby give security on all I possess or hereafter acquire for the full amount of the Purchase Price and Insurance Deposit with Lessee (in the event of an Out-of-State Title or Registration). Title transfer is also contemplated. I also give and authorize Buyer to pay any and all the following taxes: (a) State sales tax. (b) Federal unemployment tax. © Any other income tax required by law. Any other fees which may be required by law. (d) Any other sales, use, property or use taxes due to any governmental entity or jurisdiction in this State. (e) Any additional taxes or fees, if applicable. (f) Such additional duties as required by law. For the purposes of this secy., “lessee” and “Buyer” shall include any and all successors, assigns, successors-in-interest, lessees, sublessees, heirs or assigns. All rights and title in/to the Vehicle including but not limited to any and all registrations, registrations and certificate-of-Title issued by any other governmental entity to Seller or Buyer. Seller hereby warrants that: (1) Seller owns all rights to the Vehicle including all right, title, interest, title insurance, liens or encumbrances upon the vehicle, except as otherwise provided by law and unless and until Seller is notified and agrees to otherwise. (2) In the event the Vehicle or any parts thereof are sold, purchased or otherwise disposed of prior to registration by Seller as provided herein, Seller shall receive consideration from the Buyer equal to the fair market value of such part, purchase or disposition. (3) Seller agrees (a) to provide Seller only the information necessary to register the Vehicle with such governmental entity or any other entity, for which Seller may be liable for taxes imposed in respect of the vehicle, and (b) to not assist in the disposition of any Vehicle on the public highways in this State and to keep an accurate inventory of the vehicle, in person and by any other method, at all times. (4)(a) (i) This agreement shall be construed against Seller in accordance with this section and all applicable Utah, Federal, State, and local regulations, laws and rules. As used in this section, “selling price” includes all fees and expenses paid to Seller in connection with the sale and registration of the Vehicle.
